Governance

The Board recognises that the effective fulfilment of its responsibilities – particularly in setting the Group’s strategic direction and overseeing long-term performance – requires adherence to strong corporate governance principles and evolving global governance standards. Accordingly, the Board ensures that the Group observes generally accepted governance practices and complies with applicable regulatory requirements. The Board remains guided by the standards set out in the King Code on Corporate Governance and the Zimbabwe National Code on Corporate Governance.

As a listed entity on the Victoria Falls Stock Exchange, the Group complies with the Exchange’s Listing Rules and other regulatory obligations. In addition, the Group operates within the framework of laws and regulations enacted by national and local authorities. The Board oversees adherence to these requirements and meets four times annually to discharge its responsibilities.

Effective risk management is an integral component of the Group’s governance framework. Comprehensive risk management policies and procedures are in place to identify, assess, and mitigate potential risks, enabling the Group to safeguard its assets, support informed decision-making, and maintain operational continuity.

Board Responsibility and Composition

The primary responsibility of the Board is to discharge its fiduciary responsibility to the shareholders and the Company. The Board is accordingly the highest policy organ of the Company and also acts to direct strategy. Meeting regularly, with a minimum of four scheduled meetings annually, the Board receives key information pertaining to the operations of Econet InfraCo.

Article 68 of the Company sets the maximum number of directors at twelve (12) and the minimum at four (4).

  • With an NYU degree in Economics and Journalism, Sarah Masiyiwa brings robust expertise in investment strategy, business development, and the legal and financial management of diverse investment portfolios.

  • As Co-founder and Creative Director of Batoka Africa, Vimbai leverages her background in entrepreneurship to lead sustainable, purpose-driven hospitality expansion across Sub-Saharan Africa.

  • As Group CEO of Cassava Technologies, Hardy leverages 25 years of board-level experience to drive Africa’s leading integrated digital infrastructure and services company across 31 countries globally.

  • With an MBA in Leadership and Sustainability and 35 years of executive experience, Mrs. Shereni is an accomplished Economist driving triple bottom-line management and corporate strategy in the global public and private sectors.
